Terms of Service

1. About us and these terms

SiteSay is operated by Cory Meikle trading as SiteSay ("SiteSay", "we", "us", "our").

These Terms of Service ("Terms") govern your access to and use of our website, platform, and embeddable feedback widget (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

These Terms are governed by the laws of England and Wales. If you are a consumer, nothing in these Terms affects your statutory rights under UK consumer law.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract to use the Service. By registering, you confirm that you meet these requirements. If you are using the Service on behalf of a business, you warrant that you have authority to bind that business to these Terms.

3. Your account

You are responsible for:

  • Keeping your login credentials confidential.
  • All activity that occurs under your account.
  • Notifying us promptly at [email protected] if you suspect unauthorised use.

You may not share your account with others or create accounts for automated or bulk use without our prior written consent.

4. The Service

SiteSay provides:

  • A dashboard to create and manage feedback projects.
  • An embeddable JavaScript widget that allows visitors to your websites to submit feedback, bug reports, and ideas.
  • Storage and display of submitted feedback reports, including optional screenshots and console error data.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. We will not be liable for any modification, suspension, or discontinuance.

5. Subscriptions and payment

5a. Plans and billing

The Service is offered on a subscription basis. Plan details, features, and pricing are set out on our Plans page. Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). All prices are inclusive of VAT where applicable.

5b. Free trial

We may offer a free trial period. At the end of the trial, your account will either be downgraded or you will need to subscribe to continue using paid features. No payment is taken without your explicit action during the trial.

5c. Payment processing

Payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's terms. We do not store your payment card details. Failed payments may result in suspension of your account.

5d. Price changes

We may change subscription prices on reasonable notice (at least 30 days). Price changes will take effect at your next renewal. If you do not agree to a price change, you may cancel before the new price takes effect.

5e. Refunds

Unless required by applicable law, subscription fees are non-refundable. If you cancel, you retain access until the end of your current billing period. We will consider refund requests in exceptional circumstances at our sole discretion.

6. Cancellation

You may cancel your subscription at any time from your account profile page. Cancellation takes effect at the end of the current billing period; you will not be charged for subsequent periods. We may cancel or suspend your account immediately if you breach these Terms.

7. Acceptable use

You agree not to use the Service to:

  • Collect feedback on websites you do not own or have authority to instrument.
  • Collect personal data from children under 13 without appropriate parental consent.
  • Transmit malicious code, spam, or any content that is unlawful, defamatory, obscene, or harmful.
  • Attempt to probe, scan, or test the vulnerability of our systems, or circumvent security or authentication measures.
  • Reverse engineer, decompile, or extract source code from any part of the Service.
  • Resell or sublicense access to the Service without our written consent.
  • Use the Service in a way that violates any applicable law or regulation, including UK GDPR and the Data Protection Act 2018.

We reserve the right to suspend or terminate accounts that violate this section without notice or refund.

8. Your content and data

You retain ownership of all feedback data, project configurations, and other content you or your end users submit through the Service ("Your Content"). You grant us a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely to provide the Service to you.

You are responsible for ensuring you have the legal right to collect and process any personal data submitted via your embedded widget. In particular, you must maintain an appropriate privacy notice on your own website informing visitors that feedback submitted may include personal data processed by SiteSay on your behalf.

9. Data processing

To the extent we process personal data of your end users on your behalf, we do so as a data processor and you are the data controller, as defined under UK GDPR and the Data Protection Act 2018. This section, together with our Privacy Policy, constitutes the data processing agreement between us.

We commit to:

  • Processing personal data only on your documented instructions.
  • Implementing appropriate technical and organisational security measures.
  • Not engaging sub-processors without appropriate contractual protections in place.
  • Assisting you in responding to data subject rights requests where technically possible.
  • Deleting or returning personal data upon termination of the Service, as you direct.
  • Notifying you without undue delay if we become aware of a personal data breach affecting your data.

10. Intellectual property

All rights in and to the Service, including our software, branding, and documentation, are owned by or licensed to SiteSay. Nothing in these Terms transfers any intellectual property rights to you. You may not use our name, logo, or trademarks without our prior written consent.

11. Availability and service levels

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation. We may carry out maintenance with or without notice. The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law.

12. Limitation of liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.

Subject to the above, our total aggregate liability to you in connection with the Service — whether in contract, tort (including negligence), or otherwise — shall not exceed the greater of (a) the fees you paid us in the 12 months preceding the claim, or (b) £100.

We are not liable for any indirect, consequential, special, or punitive losses, including loss of profits, loss of data, loss of business, or loss of goodwill, even if advised of the possibility of such losses.

If you are a consumer, the above limitations apply only to the extent permitted by the Consumer Rights Act 2015 and other applicable UK consumer protection legislation.

13. Indemnity

You agree to indemnify, defend, and hold harmless Cory Meikle trading as SiteSay from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service in breach of these Terms; (b) Your Content; or (c) your violation of any applicable law or third-party right.

14. Third-party services

The Service integrates with third-party services (such as Stripe and Google). Your use of those services is governed by their respective terms. We are not responsible for the availability or content of third-party services.

15. Changes to these terms

We may update these Terms from time to time. We will notify registered account holders of material changes by email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not agree to the changes, you should cancel your account before the changes take effect.

16. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except that if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of your home jurisdiction.

17. General

  • Entire agreement: These Terms (together with our Privacy Policy) constitute the entire agreement between you and SiteSay regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision does not constitute a waiver of our right to do so in future.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
  • Notices: Formal notices to us should be sent to [email protected]. We will send notices to the email address registered to your account.
